THE CONSTITUTION OF THE SOUTHWEST
ORAL HISTORY ASSOCIATION
Article I
The name of this organization shall be the Southwest Oral History
Association (SOHA).
Article II
Purposes
A: The Purpose of the organization is to provide a vehicle for
communication among persons, programs, and institutions using oral
testimony; to encourage coorperation among its members; to promote
standards among oral historians, to foster an understanding of and use of
oral history; to provide guidance to projects; to create educational
programs and resources; to aid in securing financial funding for members'
projects.
B: The Association will work closely with the national Oral History
Association by informing that body of local achievements, by aiding other
regional groups to form, and in such other ways as seen appropriate.
C: The association is a nonprofit organization which shall be operated
exclusively for educational and charitable purposes within the meaning of
Section 501 (C) (3) of the Internal Revenue Code of 1954.
Article III
Membership
A: Membership will be open to any interested person or institution
meeting the dues requirement.
B: Membership dues shall be determined by the Executive Committee
subject to approval by the membership at the annual meeting.
C: All members in good standing shall be eligible to vote at the annual
meeting.
D: Terms of membership coincides with the calendar year.
Article IV
Officers and Executive Committee
A: The officers of the Association shall be: President, Vice President,
Secretary, and Treasurer. Each person elected shall be a member in good
standing. Elections shall take place at the annual meeting. All officers
shall be elected for one year but may be reelected if so nominated.
B: The management of the business of the Association shall be vested in
an Executive Committee composed of the officers, the immediate past
president, and three members-at-large elected by the membership at the
annual meeting. Membership-at-large shall be elected for terms of three
years, one member shall be elected at each annual meeting.
C: The Executive Committee shall establish standing committees and other
positions deemed necessary to achieve the goals of the Association.
D: The Executive Committee shall make interim appointments to fill
vacancies until the next annual meeting.
E: The Executive Committee shall operate in conformance with the Bylaws
adopted by the founding members of this Association.
Article V
Meetings
A: The Association will hold one annual business meeting at such time and
place as the Executive Committee shall determine. The Executive Committee
shall be empowered to call additional meetings of the membership.
B: The Executive Committee will meet twice a year. Four (4) voting
members including at least one officer, shall constitute a quorum of the
Executive Committee.
C: All official business of the Association shall be ratified at the
annual meeting by a majority of those members in good standing attending
the annual meeting.
Article VI
Amendments
Amendments to this constitution shall be enacted by a two-thirds vote at
the annual meeting. Amendments to this constitution may be initiated by
the Executive Committee or any six (6) members in good standing of SOHA.
BYLAWS OF THE SOUTHWEST
ORAL HISTORY ASSOCIATION
Article I
Amendments
The Executive Committee is authorized and directed to initiate amendments
to the Bylaws as may be desirable to regularize the administrative
practices of the Southwest Oral History Association. An up-to-date copy
of these Bylaws shall be available. Any part of the Bylaws shall be
subject to review and amendment at the annual meeting by a majority vote
of those members in good standing in attendance.
Article II
Membership
A: Membership dues for individual, institutional, lifetime and sponsoring
members shall be determined by the Executive Committee subject to approval
by the membership at the annual meeting.
B: Only members of the Association who have paid dues for the current
year and life members have voting privileges. Institutional members shall
be entitled to representation at any meeting by one delegate who may vote,
but, if that delegate is also an individual member, he/she may not cast a
second vote.
Article III
Duties of the Officers
A: The President shall:
1. Direct and coordinate the affairs of the Southwest Oral History
Association.
2. Preside at all general membership and Executive Committee
meetings.
3. Appoint committee chairpersons with the approval of the Executive
Committee.
4. Be an ex-officio member of all committees except Nominating
Committee.
5. Co-sign checks along with the Treasurer.
6. Represent SOHA at meetings of the Oral History Association.
7. Sign official SOHA correspondence.
8. Submit an annual report at the end of the presidential term.
B: The Vice President shall:
1. Perform the duties of the President in the absence of the
President.
2. Assist and work closely with the President, especially with regard to
programmning.
C: The Secretary shall:
1. Keep the minutes of all business and Executive Committee meetings.
2. Send copies of the minutes to each member of the Executive Committee
within three (3) weeks of the meeting.
3. Prepare and mail notices of regular business and Executive Committee
meetings at least thirty (30) days in advance of the meetings.
4. Receive and maintain all records of the organization.
5. Notify the national Oral History Association of all meetings.
D: The Treasurer shall:
1. Receive and bank all SOHA dues and other monies.
2. Co-sign checks with the President.
3. Pay all bills of the
Association. Any expenditure over $100 must first be approved by the
Executive Committee.
4. Prepare and give to the Secretary a written
financial report at regular business meetings and at the Executive
Committee meetings when requested.
5. File all financial reports
and tax forms.
6. Notify members when dues are payable.
Article IV
Committees
A. There shall be a Nominating Committee consisting of three members in
good standing appointed by the Executive Committee. The Nominating
Committee shall solicit nominees for all offices and report names of
nominees at the annual business meeting.
B. The Executive Committee may establish standing committees as necessary
to achieve the business and necessary goals of the Association. These may
include publication, finance, and education.
